By using https://novawave.llc (the "Website"), you agree to these Terms of Service ("Terms") and to our Privacy Policy. If you do not agree, please do not use the Website.
1. About Novawave
Novawave LLC is a company that provides AI training and software development services and builds software products. The Website gives information about the company, our services, our products and opportunities to work with us.
2. Product and service terms
- Our apps. Some products have their own terms, for example the Novabox Terms of Service. When you use a product, its own terms apply to it. If they conflict with these Terms, the product terms win for that product.
- Client work. Services we provide to clients, such as AI training or software development projects, are covered by a separate written agreement (such as a contract, statement of work or proposal). If that agreement conflicts with these Terms, the agreement wins.
- Contractors and partners. Working with Novawave as a contractor or partner is covered by a separate agreement. Nothing on the Website is an offer of employment or a promise of work or pay.
3. Using the Website
You may use the Website for lawful, personal or business purposes. You agree not to:
- break any law, or anyone else's rights, while using the Website
- try to hack, overload, disrupt or get unauthorized access to the Website or its systems
- use bots, scrapers or similar tools to copy large parts of the Website without our written permission
- upload or send viruses, malware, spam or harmful content
- pretend to be someone else, or give false information in a form or application
- copy our content to build a competing product or service
4. Information you send us
When you send us a message, application or other material:
- you confirm that it is accurate and that you have the right to share it
- you are responsible for what you send
- we will handle any personal information as described in our Privacy Policy
If you send us ideas or suggestions, we may use them freely, without any obligation to you.
5. Intellectual property
The Website and everything on it, including text, graphics, logos, the names "Novawave", "Novabox" and "Novaroom", designs and code, belong to Novawave LLC or our licensors and are protected by copyright, trademark and other laws. You may view and share links to our pages, but you may not copy, change, sell or reuse our content or brand without our written permission.
6. Third-party links and services
The Website may link to or use services from other companies, such as LinkedIn, Google or Microsoft. We do not control them and are not responsible for their content, policies or practices. Your use of them is governed by their own terms.
7. Information on the Website
We try to keep the Website accurate and up to date, but information on it is general and may change without notice. Descriptions of services, products, features, prices or timelines are not binding offers unless they are included in a written agreement or the product's own terms.
8. Disclaimer
The Website is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Website will always be available, error-free or free of viruses.
9. Limitation of liability
To the maximum extent the law allows, Novawave and its owners, members, contractors and partners are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or business, arising from your use of the Website. Our total liability for any claim about the Website is limited to US $100. Some places do not allow these limits, so they may not fully apply to you.
10. Indemnity
You agree to defend and hold harmless Novawave from claims, losses and costs (including reasonable legal fees) that come from your misuse of the Website or your breaking of these Terms.
11. Suspension
We may limit, suspend or block access to the Website, or to any form or feature on it, if we believe someone is breaking these Terms or misusing the Website.
12. Governing law and disputes
These Terms are governed by the laws of the State of Washington, USA, without regard to conflict-of-law rules. Before filing any claim, you agree to contact us at [email protected] and try to resolve the issue informally for at least 30 days. Any dispute that is not resolved will be handled in the state or federal courts located in Spokane County, Washington, unless the law where you live gives you the right to bring a claim locally.
13. Changes to these Terms
We may update these Terms from time to time. We will change the effective date at the top and, for important changes, post a notice on the Website. Continuing to use the Website after changes take effect means you accept them.
14. General
If any part of these Terms cannot be enforced, the rest stays in effect. If we do not enforce a right, we have not given it up. These Terms, together with our Privacy Policy and any product or client agreement that applies, are the full agreement between you and Novawave about the Website.
